Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and ZagaPrime LLC, a New Jersey limited liability company doing business as ZagaPrime AI Hub and ZagaPrime Solutions ("ZagaPrime", "we", "us"). They govern your use of zagaprimeaihub.com, zagaprime.com, our web apps, community, AI tools, content, memberships, courses, workshops, digital products, and services (the "Services").

By creating an account, making a purchase, or using the Services you agree to these Terms, our Privacy Policy, Refund & Cancellation Policy, Acceptable Use & Community Guidelines, and Disclaimers. If you do not agree, do not use the Services. Done-for-you services, website packages, and consulting engagements are additionally governed by a signed Master Service Agreement and Statement of Work ("MSA/SOW"); if there is a conflict, the signed MSA/SOW controls for that engagement.

• You must be at least 18 years old and able to form a binding contract. If you use the Services for a business, you represent that you have authority to bind that business.
• You are responsible for your account credentials and for all activity under your account. Tell us immediately about any unauthorized use.
• Provide accurate information and keep it current. One person per account; accounts may not be shared, sold, or transferred.
• We may suspend or terminate accounts that violate these Terms or the Acceptable Use Policy, or that we reasonably believe pose a security, legal, or fraud risk.

• Memberships — recurring access to the member community, AI news and breakdowns, live Q&A, and templates, billed monthly or yearly.
• Courses & Mentorship — one-time purchase with ongoing access to the course content for as long as we operate the Services, plus optional mentorship where stated.
• Workshops and strategy sessions — live, scheduled events delivered online or in person, sold per group or per seat.
• Token packs and digital products — credits for AI tools on the site and downloadable templates, guides, and resource packs.
• Done-for-you systems, retainers, website, branding, and consulting — custom services scoped in a proposal and a signed MSA/SOW. Setup fees are due before work begins; retainers renew monthly.

We may change, add, or discontinue features. If we discontinue a paid Service you have already paid for, we will refund the unused portion as described in the Refund & Cancellation Policy.

• All prices are in U.S. dollars. Payments are processed by Stripe under Stripe's terms. By paying you authorize us and Stripe to charge your chosen payment method for the amount shown at checkout, plus any applicable taxes.
• Prices can change. Changes to a subscription price take effect at your next renewal after we give you at least 30 days' notice by email.
• You are responsible for any sales, use, VAT, or similar taxes. Where we are required to collect tax it is shown at checkout.
• Custom project payments (deposits, milestones, balances) must match the amount on your proposal or invoice. Paying a deposit reserves your project slot; work begins after the signed MSA/SOW and the setup fee are received.
• Your card statement will show ZAGAPRIME.
• If a payment fails, we may retry it, pause access, or cancel the order. Chargebacks filed without first contacting us may result in account suspension.

Memberships and retainers renew automatically at the end of each billing period (monthly or yearly, as selected) at the then-current price, until you cancel. You will be charged on each renewal date using the payment method on file.

• Cancel anytime from your account's billing portal (the link in your receipt or account settings) or by emailing us. Cancellation takes effect at the end of the current paid period; you keep access until then and are not charged again.
• We do not provide partial refunds for unused time in a billing period except as stated in the Refund & Cancellation Policy.
• Retainers for done-for-you systems may require a minimum term stated in your SOW; otherwise they cancel at period end with notice before the renewal date.
• Free trials, if offered, convert to a paid subscription at the end of the trial unless cancelled before the trial ends. We will remind you by email before a trial converts.

Refund eligibility depends on what you bought. See the Refund & Cancellation Policy, which is part of these Terms.

• Our content. Courses, trainings, templates, workbooks, prompts, guides, designs, code, trademarks, and the ZagaPrime logo are owned by ZagaPrime or our licensors. You get a limited, personal, non-transferable, non-exclusive license to use them for your own business or learning. You may not resell, redistribute, publish, share login access to, or create derivative products from our content without written permission.
• Your content. You keep ownership of what you post or upload. You grant us a worldwide, royalty-free license to host, display, and distribute it as needed to run the Services (for example, showing your community post to other members). You are responsible for having the rights to anything you upload.
• Client deliverables. For done-for-you services, ownership of deliverables transfers to you upon full payment, except for our pre-existing tools, frameworks, and third-party components, which we license to you for use within the deliverable. Details are in the MSA/SOW.
• AI output. Subject to the rights of the model providers and applicable law, output generated for you by our AI features is yours to use. Similar output may be generated for other users; we do not guarantee uniqueness or that output is free from third-party rights.
• Feedback. Suggestions you send us may be used without obligation to you.

• AI features can produce inaccurate, incomplete, or biased output. Review everything before you rely on it, and never use AI output as a substitute for legal, financial, tax, medical, or other professional advice.
• Do not enter passwords, payment details, personal information about others, health information, or other confidential or regulated data into AI features.
• Token packs are consumed as you use AI features and have no cash value. Unused tokens expire if your account is closed.
• We may set rate limits and usage caps to keep the Services reliable.

Use of the community, forums, showcase, AI tools, and messaging is governed by the Acceptable Use & Community Guidelines. We may remove content and suspend accounts that violate them.

The Services describe and link to third-party AI tools and platforms. We do not control them and are not responsible for their content, pricing, availability, or practices. Some links are affiliate links: if you buy through them we may earn a commission at no extra cost to you. Our recommendations reflect our own testing and opinions; affiliate relationships do not change what we recommend.

We share strategies, tools, and systems that have worked for us and for clients. Your results depend on your business, market, effort, and many factors outside our control. We make no promises about revenue, savings, time saved, rankings, leads, or other outcomes. Any figures we mention are examples, not guarantees. See our Disclaimers.

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE. SOME STATES DO NOT ALLOW THESE LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.

TO THE FULLEST EXTENT PERMITTED BY LAW, ZAGAPRIME AND ITS MEMBERS, OFFICERS, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100. FOR SERVICE ENGAGEMENTS UNDER A SIGNED MSA/SOW, THE LIABILITY TERMS IN THAT AGREEMENT APPLY.

You agree to defend, indemnify, and hold harmless ZagaPrime from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

You may close your account at any time. We may suspend or terminate access for violations of these Terms, non-payment, legal risk, or if we discontinue the Services. Sections that by their nature should survive (payment obligations, IP, disclaimers, liability limits, indemnity, disputes) survive termination.

If you believe content on the Services infringes your copyright, email kzee@zagaprime.com with the subject "DMCA" and include: the work you claim is infringed, the URL of the material, your contact information, a statement of good-faith belief, a statement under penalty of perjury that you are authorized to act, and your physical or electronic signature. We will remove or disable access to infringing material and may terminate repeat infringers.

• These Terms are governed by the laws of the State of New Jersey and applicable U.S. federal law, without regard to conflict-of-law rules.
• Talk to us first. Before filing a claim, email kzee@zagaprime.com with a description of the issue. We will try in good faith to resolve it within 30 days. Most issues are resolved this way.
• If we cannot resolve a dispute informally, it will be brought exclusively in the state or federal courts located in New Jersey, and you consent to their jurisdiction. Either party may bring qualifying claims in small-claims court.
• To the extent permitted by law, claims must be brought in your individual capacity and not as a plaintiff or class member in any class or representative action.
• Nothing in these Terms limits consumer rights that cannot be waived under the law of your state or country.

• These Terms, the policies they reference, and any signed MSA/SOW are the entire agreement between you and ZagaPrime about the Services.
• If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
• You may not assign these Terms; we may assign them to a successor.
• We may update these Terms. We will post the new version with a new effective date and, for material changes, notify account holders by email or site notice at least 14 days before they take effect. Continued use after the effective date means you accept the changes.
